THE LEONETTE FOUNDATION GRANT AGREEMENT CONTRACT

The undersigned “Grantee” (organization) accepts the grant made by The Leonette Foundation (the “Foundation”) by grant award letter dated __________ and in consideration of such grant agrees as follows:

1. No part of this grant, or any income received with respect thereto, shall be used for any purpose other than the purposes specified in the Foundation’s Grant award letter.

2. No part of this grant shall be expended (a) to carry on propaganda or otherwise attempt to influence legislation within the meaning of Section 4945(d)(1) of the Internal Revenue Code, or (b) to influence the outcome of any specific public election or carry on, directly or indirectly, any voter registration drive except as permitted by section 4945(f).

3. No part of this grant shall be used for any purpose other than one specified in section 170(c)(2)(B) of the Internal Revenue Code.

4. The grantee shall furnish to the Foundation a full and complete annual report describing the manner in which the grant funds were spent and the progress that was made in accomplishing the purposes of the grant.

5. The Foundation may, at its expense, monitor and conduct an evaluation of operations funded by this grant, which may include visits by Foundation representatives to observe the Grantee’s program procedures and operations, and discussions concerning the program with Grantee’s personnel.

6. A complete and accurate record of the funds received and expenses incurred under this grant must be maintained by the Grantee for at least four years after all grant funds are fully expended. The Foundation may, at its expense and on reasonable notice to the Grantee, audit, or have audited, the Grantee’s records as they relate to the activities funded by this grant.

7. If the grant is intended to support a specific project or provide general support for a specific period, any portion of the grant unexpended at the completion of the project, or the end of the period, shall be returned to the Foundation.

8. The Grantee will provide appropriate publicity concerning this grant and will allow the Foundation to review and approve the text of any publicity concerning this grant prior to the release of such publicity.

9. Grantee hereby acknowledges that it did not provide any goods or services to Foundation, its officers, directors, or agents in consideration of this grant.

10. The total amount of this grant, or any portion thereof, may be discontinued, modified or withheld at any time when, in the judgment of the Foundation, such action is necessary to comply with the requirements of any law or regulation affecting the Foundation’s responsibilities with respect to this grant, or if the grantee fails in the opinion of the foundation to make progress toward the intended goals as outlined in the grant letter.

11. The Grantee shall immediately notify the Foundation in writing if: (a) its exemption is revoked, (b) it has any reasonable grounds to believe its exemption may be revoked, (c) any change is made or proposed to the Grantee’s classification as an organization described in section 509(a)(1), (2) or (3) of the Internal Revenue Code or as a private operating Foundation or it has any reasonable grounds to believe any such change may be made, or (d) the Grantee believes that it cannot continue to expend the grant in the manner designated in the Foundation’s grant award letter.

If the Foundation does not receive the countersigned copy of this agreement within fourteen (14) days of mailing, the approved grant can be revoked. The grant payment will be mailed once the contract agreement is received.

The Grantee acknowledges that it has received and retained a copy of this Agreement. The undersigned hereby certifies that he or she is duly authorized to accept this grant on behalf of the Grantee and to commit the Grantee to all of its terms and conditions.
